3. Coach and Team Content Rights

As a coach using our platform, you retain full ownership of any content you create and upload to the platform, including but not limited to training materials, videos, documents, and communications ("Coach Content"). By uploading Coach Content, you grant Ascend a non-exclusive, worldwide, royalty-free license to host, store, and display your content solely for the purpose of providing and improving our services.

You maintain the right to:

• Share your Coach Content with your designated team members through the platform
• Modify or remove your Coach Content at any time
• Export your Coach Content for use outside the platform
• Control access permissions for your team members
• License your content to team members under terms you specify
• Revoke access to your content for specific team members

Team members' access to Coach Content is subject to your permissions and these Terms of Service. Team members may not share, reproduce, or distribute Coach Content outside of the platform without your explicit permission.

4. Content Licensing and Usage

As a coach, you may:

• Create and upload original content or content you have rights to use
• Set specific usage terms for your team members
• Use Ascend's platform features to create interactive content
• Integrate third-party content that you have permission to use

You agree not to:

• Upload content that infringes on others' intellectual property rights
• Share content that violates any laws or regulations
• Use the platform to distribute spam or malicious content
• Attempt to reverse engineer or copy platform features

5. User Data and Privacy

You retain all rights to your personal data and content that you submit, post, or display on or through the website. By submitting content to our website, you grant us a limited license to use, store, and display your content solely for the purpose of providing and improving our services.

We respect your privacy and are committed to protecting your personal data. Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

6. Team Management and Data Protection

As a coach, you are responsible for:

• Managing your team members' access to the platform
• Ensuring your team members comply with these Terms of Service
• Protecting the confidentiality of your team's data
• Obtaining necessary consents from team members for data processing

Team member data is protected under our Privacy Policy. You agree to only share team member information that you have permission to share and to use the platform in compliance with applicable data protection laws.

7. User Responsibilities

You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

You agree not to use the website for any illegal or unauthorized purpose, and you must not violate any laws in your jurisdiction when using the website.

8. Limitation of Liability

To the maximum extent permitted by law, Ascend shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the website.

8. Changes to Terms

10. Account Termination and Content Retention

Upon termination of your account:

• You will have 30 days to export your Coach Content
• Team members will lose access to your content unless you've granted them export rights
• Ascend will retain a backup of your content for 90 days for legal compliance
• You may request complete deletion of your content after the 90-day period

Ascend reserves the right to terminate accounts that violate these terms or engage in fraudulent activity. In such cases, we may restrict access to content immediately.

11. Platform Features and Updates

Ascend may:

• Add, modify, or remove platform features with reasonable notice
• Update the platform to improve security and performance
• Introduce new tools for content creation and team management
• Modify storage limits or feature availability

We will provide reasonable notice of significant changes that affect your ability to use the platform or access your content.

12. Dispute Resolution

Any disputes arising from these terms will be resolved through:

1. Direct communication with our support team
2. If unresolved, through mediation in the province of Ontario, Canada
3. As a last resort, through binding arbitration in accordance with Canadian law

You agree to attempt resolution through these steps before pursuing legal action. Any legal proceedings must be brought in the courts of Ontario, Canada.
